What Is an MOA and Why Does It Need Notarization?
The Memorandum of Association defines your company's name, permitted business activities, share structure, partner names and nationalities, registered capital, and the obligations of each partner. It is the constitutional document of the company.
Dubai Courts notarization does three specific things: it authenticates the identities of all partners, verifies the document content against DED requirements, and officially records the company in the courts' notarial register. This registry entry is what gives the document legal weight.
The DET will not issue a trade license without the Dubai Courts notarization stamp. The stamp includes the notary's seal, the date, and a unique reference number that links the MOA to the courts' records. Any MOA submitted to DED without this stamp will not be accepted at the counter.
Which Companies Must Notarize Their MOA?
The MOA notarization requirement applies to all mainland companies registered under DED/DET jurisdiction. This includes:
Mainland LLCs (Limited Liability Companies)
1 to 50 partners. The most common structure. Each partner's liability is limited to their share of the registered capital. MOA notarization is mandatory before trade license issuance.
Civil Companies
Used by professionals (doctors, lawyers, engineers, accountants). Partners are jointly and severally liable. Same notarization requirement applies.
General and Limited Partnerships

Sole Proprietorships

Free Zone Companies: Different Process
Free zone companies (JAFZA, DMCC, DAFZA, and others) are not registered under DED and do not go through Dubai Courts for MOA notarization. Their incorporation documents are processed and stamped by the free zone authority directly. What Happens If the MOA Requires Correction?
A document returned at either the Dubai Courts or DED counter resets the timeline and often incurs additional fees. In our experience, the most common reasons for additional requirements are:
Wrong company name format
The company name must match the DED trade name approval exactly, including the legal suffix (e.g., 'L.L.C.' or 'LLC'). Any discrepancy will require correction.
Activity not on DED approved list
Each business activity must be listed using the exact DED activity code and description. Generic descriptions are not accepted. We cross-check all activities against the current DED list before drafting.
Share capital below minimum for the activity
Some regulated activities have a statutory minimum share capital. If the MOA shows a lower amount, DED requires the correct capital amount for the activity. We verify minimum requirements before drafting.
Partner ID mismatch
The name, passport number, and nationality in the MOA must match exactly what is on the partner's Emirates ID and passport. Even minor discrepancies (spelling variations, middle name included vs. excluded) cause problems.

MOA Amendments: Same Process, Different Document
If your company needs to add or remove partners, change business activities, increase registered capital, or amend any other provision, the amendment must be notarized using the same Dubai Courts process.
Before the amendment can proceed, the shareholders must pass a formal Board or Shareholders' Resolution approving the change. This resolution may also need to be notarized, depending on the nature of the amendment. We will advise on what is required for your specific situation.
The amendment is then drafted as a supplementary agreement to the original MOA, not a replacement of it. Dubai Courts records the amendment against the original MOA registration. DED then updates the trade license to reflect the changes.
MOA Notarization FAQ
Do all LLC partners have to appear at Dubai Courts in person?+
Yes, unless one or more partners appoint an authorized representative via a notarized Power of Attorney. The POA itself must be notarized in advance, which adds one step to the process.
Can the MOA be drafted in English only?+
No. Dubai Courts requires the MOA to be in Arabic, or a bilingual Arabic-English format. The Arabic text is the legally binding version. What is the minimum share capital for a mainland LLC in Dubai?+
Federal Law No. 32 of 2021 removed the previous AED 300,000 minimum capital requirement for most LLCs. There is now no statutory minimum for general trading LLCs. However, certain regulated activities (such as banking, insurance, real estate, and some professional activities) have their own minimum capital requirements set by the relevant regulatory authority.
